PROFESSIONAL TERMS & CONDITION

⚠ IMPORTANT NOTICE

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS. BY USING THE PLATFORM, YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY THROUGH ARBITRATION.

BY REGISTERING, APPLYING, OR USING THE KEY2IR APPLICATION, YOU ACCEPT AND AGREE TO ALL TERMS IN THIS AGREEMENT.

ACCEPTANCE OF TERMS

By applying to become a Resource or by using the KEY2IR Mobile Application:

  • You confirm that you have read, understood, and agree to this Agreement.

  • Your continued use of the Platform constitutes acceptance of any updated terms.

  • KEY2IR may modify this Agreement at any time by publishing updates on the Platform.

You are responsible for reviewing the Agreement regularly.

ELIGIBILITY

Only individuals who can legally enter into binding contracts may use the Service.
To become a Resource:

  • You must be at least 18 years old, and

  • You must be legally authorized to work in India.

If you do not meet these requirements, you must not apply or use the Platform.

DEFINITIONS

  • “Services” – The tasks or service activities described in a KEY2IR Service Request.

  • “KEY2IR Service Request” – A request issued to one or more Resources specifying:
    – Scope of Services
    – Deliverables
    – Completion deadline
    – Wage payable

  • “Service Engagement” – A Service Request that you accept.

  • “Application / Mobile Application” – The KEY2IR platform used to review and accept Service Requests.

RESOURCE OBLIGATIONS

4.1 Background Verification

You must consent to and pass a background check before accessing any Service Requests.

4.2 Acceptance of Service Requests

By accepting a Service Request:

  • You commit to completing the requested Services professionally and on time.

  • You form a legally binding agreement to deliver the Services for the stated wage.

  • The Service Request becomes unavailable to other Resources.

  • You must ensure you understand the scope and can travel to the Client location.

4.3 Performance

You agree to:

  • Use best efforts to perform the Services to Client satisfaction.

  • Complete Services within the required deadlines.

  • Maintain professional conduct at all times.

Failure to complete Services or poor performance may result in:

  • Non-payment of wages

  • Account suspension or termination

INDEPENDENT CONTRACTOR RELATIONSHIP

You are an independent contractor, not an employee of KEY2IR.

Nothing in this Agreement creates:

  • Employment

  • Partnership

  • Agency

  • Joint venture

You must not represent to third parties that you are an employee or agent of KEY2IR.

5.1 No Benefits

As an independent contractor:

  • You are not eligible for employee benefits (PF, ESI, bonus, insurance, etc.).

  • KEY2IR will not make deductions for taxes, TDS, PF, or other statutory benefits.

5.2 Taxes

You are fully responsible for:

  • Filing your own income tax returns

  • Paying applicable taxes on the wages you earn

KEY2IR may issue TDS certificates or tax statements if required by Indian law.

You must indemnify KEY2IR if your tax non-compliance causes financial liability to us.

PAYMENT OF WAGES

  • KEY2IR pays all Resource wages through your Wallet only.

  • No bank transfers or cash payments are permitted.

  • Wages are credited within 48 hours after Client approval of successful service completion.

6.1 Non-Payment Conditions

You will not receive wages if:

  • You fail to complete the Service Request.

  • Work quality is unsatisfactory.

  • You violate any terms of this Agreement.

6.2 Payment Issues

If you do not receive payment within the timeline:

Email support@key2ir.com within 4 days of completing the Service Request.

CONFIDENTIALITY

7.1 Confidential Information

While performing Services, you may access confidential business information belonging to KEY2IR or Clients.
You must:

  • Not disclose confidential information to anyone.

  • Not use confidential information for personal benefit.

  • Protect confidential information at all times.

7.2 Exceptions

Confidentiality obligations do not apply if the information:

  • Was already known to you legally

  • Becomes public through no fault of yours

  • Is legally required to be disclosed (after informing KEY2IR)

7.3 Return of Information

Upon termination or upon request, you must return or permanently delete all confidential information.

NO CONFLICTS

You represent that:

  • You are free to enter this Agreement

  • You are not bound by any contract or legal restriction preventing your participation

  • You will not engage in activities that conflict with your obligations here

REPRESENTATIONS, WARRANTIES & INDEMNITY

9.1 Your Representations

You represent and warrant that:

  • You have the legal right to enter this Agreement

  • You will provide Services professionally and ethically

  • You will follow all applicable laws

  • All information you provide is accurate

9.2 Indemnity

You agree to indemnify and hold KEY2IR harmless from:

  • Losses, claims, damages, liabilities

  • Legal costs and attorney fees

  • Issues arising from your negligence or misconduct

9.3 Insurance

You acknowledge:

  • You are NOT covered under ANY KEY2IR insurance plans

  • You must arrange your own insurance for:
    – Accident
    – Health
    – Liabilities
    – Third-party damages

WARRANTY DISCLAIMER

The KEY2IR Application is provided “AS IS”.
We make no warranties regarding:

  • Performance

  • Uptime

  • Accuracy

  • Reliability

  • Merchantability

  • Fitness for a particular purpose

LIMITATION OF LIABILITY

KEY2IR is not liable for:

  • Loss of profits

  • Loss of business

  • Loss of goodwill

  • Indirect or punitive damages

Our maximum liability will never exceed the total wages paid to you in the 12 months before the claim.

TERMINATION

12.1 Termination by KEY2IR

KEY2IR may terminate your access if:

  • You violate any term of this Agreement

  • You have no successful Service Engagements for 12 months

  • You misuse the platform or engage in misconduct

12.2 Survival

The following sections survive termination:

  • Independent Contractor

  • Confidentiality

  • No Conflicts

  • Representations & Warranties

  • Limitation of Liability

  • Dispute Resolution

DISPUTE RESOLUTION & ARBITRATION

All disputes must be resolved through binding arbitration under:

Indian Law | Jurisdiction: Bangalore, Karnataka

This applies to:

  • Contractor classification disputes

  • Wage disputes

  • Service-related disputes

  • Termination disputes

Arbitration Procedure

If you wish to initiate arbitration, you must send:

  1. Your name and address

  2. Legal and factual basis of the claim

  3. Requested remedy

Class actions, group claims, and jury trials are waived.

MODIFICATION TO APPLICATION

KEY2IR may modify, suspend, or discontinue any feature of the Application at any time without liability.
